Terms of Service

Please read these Terms of Service carefully before using the KABANI Consulting LLC website or engaging our services. These terms govern your relationship with KABANI Consulting Group and outline the rights and responsibilities of both parties.

1. Acceptance of Terms

By accessing or using the KABANI Consulting LLC website (kabani.ai) or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing this site. These terms apply to all visitors, users, and clients.

2. Services Description

KABANI Consulting LLC provides AI consulting, custom AI agent development, business process automation, AI strategy, and related technology services to businesses and organizations.

The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement signed by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for KABANI to perform the agreed services.

Clients must obtain all necessary rights, licenses, and permissions for any data, systems, or third-party materials provided to KABANI in connection with a project.

Clients are responsible for reviewing and testing all deliverables before deploying them in production environments.

4. Intellectual Property

Upon full payment, clients own the custom deliverables created specifically for them under a project agreement, unless otherwise specified.

KABANI retains ownership of all pre-existing intellectual property, tools, frameworks, methodologies, and know-how used in delivering services.

KABANI retains the right to use general knowledge, skills, and experience gained during engagements for future work, provided no confidential client information is disclosed.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of an engagement.

Confidential information will not be disclosed to third parties without prior written consent, except as required by law.

This obligation survives the termination of any service agreement.

6. Payment Terms

Payment terms for specific engagements will be defined in individual service agreements or statements of work.

Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges.

KABANI reserves the right to suspend services for accounts with outstanding balances beyond agreed payment terms.

7. Limitation of Liability

To the maximum extent permitted by applicable law, KABANI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services.

Our total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim.

This limitation applies regardless of the form of the action, whether in contract, tort, negligence, strict liability, or otherwise.

8. Disclaimer of Warranties

Our services are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that AI systems we develop will be free of errors, operate without interruption, or produce specific outcomes. AI systems involve inherent uncertainties.

Clients are responsible for validating AI outputs and maintaining appropriate human oversight in their operations.

9. AI Ethics & Responsible Use

Clients agree to use AI solutions developed by KABANI in an ethical and lawful manner, consistent with applicable regulations and industry standards.

Clients must not use our AI solutions to discriminate unlawfully, generate harmful content, engage in deceptive practices, or violate any applicable laws.

KABANI reserves the right to terminate engagements if our services are being used in a manner inconsistent with ethical AI principles.

10. Termination

Either party may terminate a service engagement with written notice as specified in the applicable service agreement.

Upon termination, clients will pay for all work completed to the date of termination.

Provisions relating to intellectual property, confidentiality, limitation of liability, and payment survive termination.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising under these terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

12. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be effective upon posting to our website.

Your continued use of our website or services after any changes constitutes your acceptance of the updated terms.

For material changes to active service agreements, we will provide written notice.
